Legal Provisions and Dispute Resolution

1. Governing Law

These Terms and Conditions shall be governed by and construed in accordance with the laws of England and Wales, without giving effect to any principles of conflicts of law. The United Nations Convention on Contracts for the International Sale of Goods shall not apply to these Terms and Conditions.

2. Jurisdiction and Venue

You irrevocably agree that the courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with these Terms and Conditions or their subject matter or formation. 3. Dispute Resolution Procedures

Before initiating formal legal proceedings, you agree to:

  • Notify us in writing of any dispute, describing the nature of the dispute and the desired resolution
  • Attempt to resolve the dispute through good-faith negotiations for a period of at least 30 days
  • Consider alternative dispute resolution methods such as mediation before pursuing litigation

This requirement does not apply to claims for injunctive relief or intellectual property protection.

4. Severability Clause

If any provision of these Terms and Conditions is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law, and the remaining provisions shall continue in full force and effect.

5. Waiver

No waiver by Quotient Path of any term or condition set forth in these Terms and Conditions shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition.
